Background
Osgoode professional Development (“OPD”) is a world leader in law school lifelong learning and is part of Osgoode Hall Law School. As a revenue generating unit, OPD offers credit and non-credit programs for Canadian and international professionals, firms and organizations who require legal information. OPD’s programming includes both synchronous and asynchronous programming. OPD runs in-person and liv, online programs, hybrid and on demand programs that range from 1-hour webinars to 5-day Certificate programs to 6 credit LLM courses.
Lassonde School of Engineering’s (“LSE”) mission is to create solutions to global problems. Working together, a community of researchers, industry partners, faculty, staff and students turn ideas into reality. Similar to OPD, LSE offers both credit and non-credit offerings, with a focus on learn-by-doing, practical, high-quality learning experiences.
Objectives
The objective of this RFP is to engage three (3) Proponents that offers the best value to York in accordance with the Work set out in this RFP in support of OPD’s and LSE learning initiatives.
The Selected Proponents will have to show applied experience of eLearning course Work with Legal and/or Regulatory frameworks that would be worthy of the targeted Professional Markets. (refer to Section 6.4 Mandatory Requirements of the RFP)
The Work is expected to include a comprehensive development, maintenance and redevelopment of e-learning modules (“Modules”) on a variety of legal topics, which support OPD’s credit and non-credit programs.
In collaboration with OPD, the Selected Proponent(s) will contribute to the creation of a portfolio of blended and purely online (synchronous and asynchronous) credit and non-credit programs on a variety of legal topics.

- This includes creating templates and recommending processes, assessments, storyboards, curriculum mapping and guidelines for online and hybrid programs. The Proponent will work with the OPD team and support subject matter experts and OPD staff in designing and developing online programs. These programs will be housed and run through OPD’s current LMS, Moodle, and future LMS.
- By achieving this objective, OPD expects to enhance and expand online or blended offerings in both our credit and non-credit programs.
- York’s intention is to select and establish a Roster of Proponents to provide services for the term indicated in Section 6.11 – Term. Refer to Section 5.3 Award for additional details including Work delegation between Awardees.
- The following is intended to clarify the scope of work for this Request for Proposal. It is not to be construed as a complete listing of Work to be performed during the Agreement.
- The projects will be done on an on-call basis. There is no work commitment on York’s part.
Services and Approaches not in Scope
OPD is not interested in the following products or services:
- Contractual arrangements based on sharing of tuition revenue; Purchase/license of whole pre-existing courses, either as is or modified.
York will only consider Proposal submissions received from Proponents who have registered with MERX (www.MERX.com) for this competitive bid. Proposal submissions from Proponents who have not registered and obtained this Bid Document directly from MERX will be disqualified.

This procurement is covered by Chapter 5 of the Canadian Free Trade Agreement.
Delivery Date:
The Work is expected to begin as early as awarded. The specific start date will be determined once the awards are made. The projects will be done on an on-call basis. There is no work commitment on York’s part.
Duration of Agreement:
The initial term of the Agreement shall begin from the date of award for thirty-six (36) months, with one (1) optional twenty-four (24) month extension. All prices shall be net, firm and not negotiable for the initial thirty-six (36) months. Should York choose to exercise its option to extend subsequent to the initial term, any extension to the Agreement shall be upon the same terms and conditions, except for price, which shall be agreed in writing by the parties and shall not exceed the Consumer Price Index – Canada, All-items.
Negotiation:
Following evaluation of all Proposals, it is York’s intention to enter into negotiations with three (3) Proponents creating a Roster who offer the best overall value to York. During such negotiations, the scope of the Work may be refined, responsibilities will be delineated, implementation issues will be clarified and the final terms and conditions of any Agreement will be determined.
York reserves the right in its sole discretion to negotiate modifications to any Proposal received without becoming obligated to offer to negotiate with any other Proponent(s).
If negotiations with the Selected Proponent are unsuccessful, York reserves the further right in its sole discretion to enter into negotiations with any other Proponent(s).
