Description of Procurement

Ryerson is seeking Proposals for Investment Management Services. Ryerson invests its funds under the guidelines set out in Ryerson’s Investment Policy for Expendable Funds. The primary objective of the investment program is to earn a return while minimizing investment risk in order to meet the cash needs of Ryerson.
The procurement is anticipated to involve negotiation. An electronic auction is not anticipated.

Conditions for Participation
The procurement is subject to the following conditions for participation:

Mandatory Submission Requirements

Supplier shall be capable of managing all of the strategies outlined in Appendix A, Section 2.1(1), in accordance with the applicable Investment Policy.
- A short-term fixed income strategy to manage debenture proceeds.
- A balanced fund strategy to manage small restricted investment funds.
- A short-term cash and cash plus strategy to manage operating assets and other reserve funds
Supplier possesses a minimum five (5) year track record in each of the Investment Strategies
Supplier has a minimum of $3 billion AUM.
Supplier is able to manage the majority of the assets utilizing their own resources.
Supplier, its parent organization, subsidiaries, affiliates and any other key personnel have not had any final judgments in respect of serious crimes, such as but not limited to unethical conduct and/or regulatory judgements or fines, or other serious offences in the past five (5) years from the Submission Deadline.
Supplier is GIPS® compliant.
Supplier incorporates Environmental, Social and Governance (ESG) research as part of the investment process for each Investment Strategy outlined in Appendix A - Section 2.1(1).

Pricing Submission Requirements
Presentation

Only selected Suppliers will be invited for a presentation. The minimum passing score for the Presentation is 70%
Insurance and WSIB
(a) General liability insurance in the amount of not less than five million dollars ($5,000,000.00) for any one occurrence for bodily injury, property damage including loss of use, or death. Such insurance shall, at a minimum, include coverage of broad form property damage, contractual liability, completed operations and product liability and such other types of insurance as would be carried by a prudent person performing such services and as Ryerson, may from time to time, require. Such policy shall include Ryerson as an additional insured, include a cross liability/severability of interests clause, and include a waiver of subrogation rights which the Consultant’s insurer may have against Ryerson;
(b) Standard automobile liability insurance covering vehicles owned by the Consultant and non-owned vehicles with limits of not less than two million dollars ($2,000,000.00);
(c) Crime insurance in an amount of not less than $1,000,000 per occurrence that protects against loss from an employee’s dishonest acts, including larceny, embezzlement, theft, forgery, computer fraud, funds transfer, counterfeiting and other schemes, whether committed independently or in collusion with third parties which are “discovered” during the Policy Period.
(d) Professional liability insurance to cover against any and all Claims made for wilful misconduct (or intentional acts), or errors or omissions of, or negligent acts, attributable to, or relating to the performance of the Consultant's Services under this Agreement, with limits of not less than five million dollars ($5,000,000.00) per claim and a deductible not to exceed $25,000.00. Such policy shall not exclude prior acts relating to the Consultant's Services under this Agreement. Such insurance shall be maintained from the inception of this Agreement until two (2) years following the earlier of the termination of this Agreement or completion of the Consultant’s Services. The Consultant agrees to advise Ryerson by written declaration of any and all Claims pending against such insurance prior to commencement of the Services and on a monthly basis thereafter as a condition of payment; and
(e) Workplace Safety and Insurance Board of Ontario (“WSIB”) coverage or employers liability insurance in the amount of not less than two million dollars ($2,000,000.00) and if requested, the Consultant shall submit its WSIB account number together with a letter from the appropriate WSIB department (indicating that there are no outstanding fees, fines, Claims or debts to the Consultant’s WSIB account) to Ryerson prior to commencement of the services.

Contract Details
The term of the Final Agreement is 5 years, plus one optional renewal period of 5 years, at the discretion of Ryerson
