The Ontario Securities Commission (“OSC”) is soliciting competitive proposals from respondents for the provision of a conflict of interest (COI) management and compliance software system solution, delivered as part of a hosted software as a service (SaaS) solution (the “Solution”) as well as associated maintenance and support, hosting and any necessary professional services (collectively, “Services”), all as further described in Article 3.
The potential scope of services to be provided under the contemplated engagement includes, but is not limited to:
Conflict of Interest Management and Compliance Software System Solution and Services. The OSC is soliciting competitive proposals from respondents for the provision of an off-the-shelf, cloud-based conflict of interest (COI) compliance management system software solution and associated Services. This system should automate reporting and monitoring of personal trading, gifts, outside business activities and other types of conflicts of interest while ensuring business activities and functionalities are in line with organization’s conflict policies under the Code of Conduct. The OSC is seeking a Solution and Services that meets or exceeds the functional and technical capabilities set forth in Appendix A – Technical Response.
The Solution will be for internal use, initially supporting approximately 650 users. The collection and storage of data associated with personal trading for reporting use (either through export of data or built-in reporting capabilities) are also required. The Solution must be offered in a highly secure environment, providing commercially reasonable protocols to ensure confidentiality and privacy of data. The software must be available to OSC staff twenty-four (24) hours per day, seven days a week, three hundred sixty-five days (365) days per year, except for reasonable interruptions in service for contractor maintenance, updates or enhancements to the software.
The desired license and scope of the Solution would be an enterprise license, with up to 700 supervised personnel, and 3 system (business) administrators, delivered as part of a SaaS Solution including production and non-production instances of the Solution and disaster recovery services.
Contract:
The OSC intends to enter an agreement with the selected respondent for an initial term of three years, with the right to extend the agreement on the same terms and conditions, including costs (subject to annual increases in the fees for the Solution and the Services based on the annual percentage increase in the Consumer Price Index – Canada (all items) following the end of year five), for an initial renewal period of two years, followed by up to two additional one year renewal periods (seven years in total).
Responses to this RFP must be submitted in the English language.
This RFP is an open competitive, negotiated request for proposal.

Proposals must be received on or before 2:00 p.m. Eastern Time on November 13, 2018 – 2:00 PM ET by the use of MERX Electronic Bid Submission (EBS). Respondents shall be solely responsible for the delivery of their Proposals in the manner and time prescribed. Respondents must register with Merx to obtain and to submit a response to this RFP. The fee from Merx for EBS is $25.00 CDN.
