APPENDIX D – RFP PARTICULARS

A. THE DELIVERABLES
SECTION 1: OVERVIEW
Ornge is seeking proposals for Tax Recovery and Advocacy Professional Services.

SECTION 2: BACKGROUND
Ornge operates from a number of bases across the province coordinating all aspects of Ontario's air medical transport system, critical care land transport program, and the screening of inter-facility transfers of patients within the province. Ornge group of entities includes the following:

Ornge
Ornge Issuer Trust, and
Wholly owned subsidiaries: Ornge Global Air Inc. and 7506406 Canada Inc. (The latter entity is inactive).

Ornge is a corporation continued under the Canada Not-for-Profit Corporations Act. Ornge is a registered charity under the Income Tax Act (Canada) and, as such, is exempt from income taxes pursuant to Section 149 of the Income Tax Act. Ornge also receives the GST/HST Public Service Bodies’ Rebate, and is subject to CBSA customs dues and GST/HST for imported goods/services. Payroll is processed through this entity, and thus is subject to all common payroll taxes.
Ornge Global Air Inc., and its wholly-owned subsidiary 7506406 Canada Inc., are for-profit entities incorporated under the Canada Business Corporations Act. The entities provide rotary wing and fixed wing transport services on behalf of the Organization. Pursuant to the Income Tax Act and income tax regulations, both of these entities are subject to income taxes, remit GST/HST, and are subject to CBSA customs dues and GST/HST for imported goods/services. Payroll is processed through this entity, and thus is subject to all common payroll taxes.
Ornge Issuer Trust is a special purpose entity under the laws of Ontario pursuant to a declaration of trust. The trust holds title to a number of aviation-related assets, including fixed-wing and rotary-wing aircraft, and related infrastructure. Ornge is the sole beneficiary of the trust. Pursuant to the Income Tax Act of Canada and income tax regulations, the trust is subject to income taxes, remits GST/HST, and is subject to CBSA customs dues and GST/HST for imported goods/services.
Ornge is funded primarily by the Province of Ontario in accordance with a Performance Agreement established by the Ministry of Health. Other income includes organ transfers and billings for non-OHIP covered services. Please visit Ornge’s website at www.ornge.ca for additional information about the organization structure.
Ornge utilizes a variety of systems within its Finance function, including but not limited to:

SAP (accounting and procurement);
ADP (payroll)

Ornge group of entities deal with the following main tax and compliance items on a regular basis, and, therefore, will require various recovery and advocacy engagements and compliance advisory services on an as needed basis on various matters, including:

GST/HST and other sales taxes for corporations, public service bodies (charities), trusts, and foundations;
Income taxes;
CBSA import customs duties, and other;
Payroll taxes/premiums (WSIB, EHT, CPP, EI, etc.);
Property taxes;
Fuel and excise taxes;
Value-added taxes;
Grant applications; and
Review for duplicate payments to vendors.

Based on the agreed-upon scope, the selected proponent will prepare and submit a Statement of Work (SOW) for each specific engagement Ornge has determined prior to the commencement of the services. The results of any engagements are presented to the Director of Financial Services & Corporate Controller, Chief Financial Officer, and depending on the scope, the Finance & Audit Committee.
Outside of any specific engagement SOWs, continuous access to subject matter experts via a support helpline (phone and email) is required by Ornge for any ad-hoc questions related to the above listed items and any others related to those topics that may arise.
Currently, all finance functions are located at 5310 Explorer Drive in Mississauga, Ontario; however, the majority of administrative staff is working remotely. Ornge will provide all necessary accounting records for performing the tax advisory and related services.

SECTION 3: TAX ADVISORY and ADVOCACY SERVICES
It is Ornge’s intention to select one potential firm to provide all of the service categories outlined below:
TAX ADVISORY and ADVOCACY SERVICES:

Main tasks
1. Provide professional advice via email/phone or video calls on an adhoc basis, including Statement of Work (SOW) preparation for proposed services (upon Ornge’s request). Refer to Section 2 above for examples of typical engagements previously completed. Estimated Annual Timeline - Varies (timing depends on the scope of work per agreed-upon SOW.)
2. Plan, develop, and execute tax and advocacy related services. The selected firm should perform all steps of engagements, including communications with any external parties required, preparation of any required forms/applications, and defending any recovery results in case of an inquiry/review by any external authorities/regulators. Estimated Annual Timeline - Varies (timing depends on the scope of work per agreed-upon SOW.)
3. Complete and submit high quality/professional reports with findings and recommendations. Estimated Annual Timeline - Varies (timing depends on the scope of work per agreed-upon SOW.)
4. Provide professional services to address one-off questions or clarifications sought by Ornge, and can involve research and feedback with relevant literature. Estimated Annual Timeline - Adhoc

(ii) B. MATERIAL DISCLOSURES

The parties acknowledge that Ornge is subject to the Broader Public Sector Accountability Act, 2010, as amended from time to time, and under no circumstances will hospitality, incidentals, hotel, mileage or meal expenses be reimbursable by Ornge. For greater certainty, Representatives cannot claim or be reimbursed for such expenses, including:

Meals, snacks and beverages
Gratuities
Laundry or dry cleaning
Valet services

Dependent care
Home management
Personal telephone calls

Proponents are required to hold professional liability and errors & omissions liability insurance, insuring liability for acts and omissions in the performance or failure to perform the Deliverables and other services contemplated in the Contract, in the amount of not less than $1,000,000 CAD per claim and in the annual aggregate.
