Description

A. THE DELIVERABLES
Ornge, together with its consolidated wholly owned subsidiaries, operate from a number of bases across the province coordinating all aspects of Ontario's air and land ambulance systems.

Ornge entities include the following:

Ornge;
Ornge Global Air Inc. [“Ornge Air”];
Ornge Issuer Trust [the "Trust"];
7506406 Canada Inc.; and
Ornge Foundation.

All of the above companies are federally incorporated, except for Trust.
Note:
While the above are legal entities currently in existence, the majority of financial transactions are with entities 1, 2 and 3. Entities 4 and 5 are inactive.

Ornge is funded primarily by the Province of Ontario in accordance with a Performance Agreement established by the Ministry of Health (“MOH”). This Agreement sets out the rights and obligations of the two parties, one of which is that Ornge is required to provided audited consolidated financial statements to the Ministry on an annual basis. As well, Ornge has an obligation to provided audited consolidated statements to certain of its lenders.

In addition, each Ornge legal entity is required by law to complete income tax or charity returns on an annual basis. An accounting firm will be essential in providing advice and in assisting with the completion of these returns.

Ornge will provide the following to the Proponent upon the submission of a signed Appendix E- Non-Disclosure Agreement to the Ornge Contact:

Most recent audited financial statements.
Most recent filed tax returns for each entity.
Ornge Corporate structure.

Note: Audited financial statement is only required for the consolidated entity. Statements are prepared in accordance with PSAS.

Additional Information
Currently Ornge has no plans for any significant system changes that may impact financial reporting. Financial systems currently in use by Ornge include ADP and SAP. Major expenses include fuel and aircraft maintenance. Ornge has collective bargaining agreements in place with 3 unions (UNIFOR, OPSEU and OPEIU).

Ornge Objectives
Independent auditors, who are reputable and highly experienced and knowledgeable with the relevant accounting standards, will provide an opinion on Ornge’s financial reports and provide recommendation for improving internal controls or efficiencies for management consideration.

Key Deliverables

Audited consolidated financial statements (in English and French versions).
Annual audit package for Ornge Board of Directors (summary of findings & issues).
Management recommendation report.
