1.Introduction
1.1.Invitation to Submit

This Request for Supplier Qualifications (“RFSQ”) is an invitation to Vendors to put forward a Submission for the provision of Communications and Marketing support in the role of a Graphic Designer and/or Videographer, as described in Section 4. The Term of the Vendor of Record (VOR) arrangement is for a period of two (2) years commencing upon the execution of the VOR with an option in favour of OntarioMD to extend the VOR on the same terms and conditions for an additional term of one (1) year. OntarioMD reserves the right to refresh the VOR before the two (2) year renewal anniversary.

1.2.About OntarioMD
OntarioMD plays a lead role as a digital health system innovator and integrator, focused on improving user access, increasing patient safety, creating system efficiencies and realizing value for Ontario’s health care system. More than 17,000 clinicians are enrolled in its digital health programs. They are supported by OntarioMD staff across Ontario to enhance their EMR skills and use based on their individual practice needs. OntarioMD staff use a customized approach to work with clinicians to achieve their goals for enhancing patient care and practice efficiency.

OntarioMD has the infrastructure, industry knowledge, experience and strong relationships with clinicians, stakeholders and vendors that uniquely positions us to advance provincial health priorities through EMR-integrated digital health solutions. We have developed and implemented award-winning connectivity to EMRs in our Health Report Manager (HRM) and eNotifications applications that enhance the value of certified EMRs. In addition to delivering HRM across Ontario, OntarioMD is also rolling out applications such as eConsult, and an EMR Quality Dashboard, and the Ontario Laboratories Information System (OLIS) to clinicians. It is also integrating provincial digital health tools such as the Digital Health Drug Repository (DHDR) and the Digital Health Immunization Repository (DHIR) with EMRs so clinicians can access these sources of patient information directly from their certified EMRs. To ensure that the future clinical and usability needs of physicians' practices are incorporated into EMRs to support the evolving health care environment, OntarioMD also manages the EMR Specifications and the EMR Certification Program for the province.

OntarioMD is a wholly-owned subsidiary of the Ontario Medical Association and this relationship has been valuable in advancing the digital health agenda with Ontario’s physicians. OntarioMD is funded by the Ontario Ministry of Health and Long-Term Care.

1.3.OntarioMD’s Current Mandate

Since August 1, 2015, OntarioMD has taken on digital health-related activities that support physicians to realize more benefits through the use of their EMRs. Funding for these programs and activities comes from the EMR Funding Agreement (“Agreement”) with the Ministry of Health and Long-Term Care (MoHLTC). The Agreement provides schedules which describe key program components, conditions, requirements and performance metrics. The schedules in the Agreement define key program elements and associated targets. Targets must be achieved within specific time frames.

Through our experience and access to a range of clinical practice environments that require the engagement of physicians, other clinicians, administrators and other members of the interdisciplinary practice context, we are poised to play an influential role as an integrator and change agent in health system transformation efforts. OntarioMD is a valuable partner of choice for health system leaders as they seek to advance their strategic objectives and meaningfully engage with physician practices.

OntarioMD continuously explores new partnerships and business models to deliver value for our stakeholders and Ontario’s health system. OntarioMD will use existing platforms to introduce digital innovations and will explore new opportunities offered by emerging technologies to deliver additional value to physicians, stakeholders and the broader health system.

1.4.Changing Business Need

As OntarioMD develops new digital health solutions that address the needs of physician practices and takes on additional digital health deployment activities on behalf of partners to advance government priorities, there is an increased use of internal Communications and Marketing resources to communicate and promote these initiatives.

OntarioMD has qualified internal resources with the necessary skills and expertise in graphic design and videography to design and produce collateral, visual elements and videos required to promote OntarioMD’s products and services. However, OntarioMD needs a Vendor of Record list of five (5) qualified vendors who offer graphic design and five (5) qualified vendors who offer videography services that could be called upon occasionally for specific OntarioMD projects/contracts when internal resources require assistance with excess workload to ensure that OntarioMD can deliver in all areas of its business in a timely manner without compromising quality. If fewer than five (5) vendors meet the requirements to qualify, then OntarioMD will accept fewer than five (5) qualified vendors. The services must be provided by individual candidates, not by a pool of unknown or unnamed individuals. Individual candidates will be evaluated on their individual skills, experience and portfolios.

1.5.Type of Contract for Services

In accordance with the terms and conditions of this RFSQ, OntarioMD intends to select five (5) qualified Proponents to enter into a VOR arrangement with OntarioMD for the provision of graphic design Services and five (5) qualified Proponents to enter into a VOR arrangement with OntarioMD for the provision of videography Services in the form attached as Appendix A to this RFSQ. The VOR arrangement(s) will be established by this RFSQ.

Successful Proponents will be required to enter into a Master Agreement in form and content substantially similar to Appendix A of this RFSQ for each Service Category for which the Proponent proposed was qualified.

The Services VOR arrangement will be established and managed by OntarioMD Procurement.

Additional suppliers can be placed on the VOR arrangement list via an RFSQ for VOR suppliers to be issued between January 1, 2021 and March 1, 2022.

2.Procurement Process
2.1.The VOR Arrangement Process

The establishment and use of the VOR arrangement consists of a two-part process:

Part One – is managed by OntarioMD and is the creation of the VOR arrangement through the issuance and evaluation of this RFSQ. This results in the identification of qualified Proponents and the Signing of Master Agreements between the successful Proponents and OntarioMD.

Part Two – (also referred to as the second-stage selection process) is undertaken by an OntarioMD project, authorized through a master VOR agreement held by OntarioMD focused on the specific needs of OntarioMD seeking to identify the skills and roles available to meet specific requirements.

Method for Acquiring the Services (Second Stage Selection Process)

Successful Proponents in each of the two (2) Service Categories of this RFSQ will become Proponents and may provide Services to OntarioMD.

OntarioMD will be able to acquire the Services offered by a Proponent for the Service Category for which the Proponent was selected as a result of this RFSQ, according to its own specific requirements.

The process for the Second Stage Selection is generally described below for information only but may be amended by OntarioMD from time to time at its sole discretion.

The Second Stage Selection Process is as follows:

OntarioMD determines the specific needs of their Project and seeks to identify the skills and roles needed to meet its requirements.
OntarioMD seeking resources then issues a Request for Services (RFS) to a selected number (determined by the dollar value of the Request) of Proponents from the VOR arrangement in the required Service Category or Categories.
The Proponent(s) respond(s) to the RFS within a prescribed deadline:
- Outlining its capability of fulfilling the Project details;
- Providing the total estimated price to be charged for the Project, and;
- All other information requested in the RFS.
OntarioMD receives and evaluates all RFS proposals. Proponents and/or proposed consultants may be interviewed as a part of the RFS proposal review process.
- OntarioMD may choose one (1) or more Proponent(s) to provide the required Services for the specific Project defined in the RFS.
Following this, and the approval of the Proponent’s certificate of insurance by OntarioMD, a Statement of Work (SOW) is prepared. The SOW must be signed by the Proponent and OntarioMD before work on the Project begins.
During the work conducted as the result of a RFS, Proponents will be required to transfer knowledge, where necessary, to OntarioMD.

No Guarantee of Volume of Work or Exclusivity of Contract

OntarioMD makes no guarantee of the value or volume of work to be assigned to the successful Proponents through the VOR arrangements. The value and volume of Services (if any) will depend on a variety of factors, such as, but not limited to, the annual budgetary approvals.

The Master Agreements executed with successful Proponents will not be exclusive contracts for the provision of the described Services. OntarioMD may contract with others for the same or similar Services to those described in this RFSQ or may obtain the same or similar Services internally.

Insurance Certificates

The insurance coverage requirement for the VOR arrangement resulting from this RFSQ is two million dollars ($2,000,000.00) each for both Commercial General Liability (CGL) and Errors and Omissions (E&O) insurance for all successful Proponents.

Insurance certificates are required to be submitted and approved by OntarioMD prior to a Proponent beginning work on their first SOW. Proponents may, however, submit insurance certificates to OntarioMD at any time after notification of award of a Master Agreement under this RFSQ and prior to beginning work on their first SOW.

Sub-Contracting

Only a single Proponent must sign the Rate Bid Form. A successful Proponent may become a Proponent on the Vendor of Record arrangement, but its subcontractors cannot. Regardless of the relationships between a successful Proponent and its subcontractors, the Proponent will be solely and directly responsible for performing the obligations of the Proponent under the resulting Master Agreement and under each SOW.

This RFS timetable is tentative only and may be changed by OntarioMD at its sole discretion.

OntarioMD may, in its sole discretion, extend the Contract End Date for up to one (1) year by giving written
notice to the Vendor not less than 10 days before the initial assignment end date.

2.4.Submission Requirements
Written Submissions are requested from Respondents corresponding to the OntarioMD submission requirements described below. Respondents can submit more than one candidate for each category (i.e., graphic designer or videographer), however a separate submission is required for each candidate in each category. Respondents should order their Submission in the same order as the order of information requested below.

Respondents must submit their Submissions in two separate parts. One part will contain the price portion of the Submission using Appendix E. The other part will contain the rest of the Submission. Each part must be submitted in separate electronic file in Microsoft Word format or portable document format (pdf).

Cover Letter

This will include an introduction to the Respondent. A clear statement that the Terms and Conditions of this RFSQ have been read, understood and agreed to in their entirety and confirming that the information provided in the Submission is accurate must be made in the letter. The letter must be signed by an authorized signing officer of the organization.

Respondent Profile

The Respondent profile includes a brief description of the Respondent’s type of business and a Respondent’s contact for all questions and clarifications arising from the Submission. The contact information includes the person’s title, address, email and telephone number.

This section may also include a short reference summary describing a previous example(s) of where the Respondent has provided similar services to OntarioMD or other entities in the health care sector.

Conflict of Interest Declaration

Any Respondent who has or may have a conflict of interest must disclose such conflicts(s). Respondent(s) shall sign and include the Conflict of Interest Declaration attached in “Appendix B – Conflict of Interest Declaration”.

Project Team & Staffing

Identify proposed named candidate(s) for each Service Category. Provide details on how the experiences of the proposed named candidate(s) meets the rated experience criteria.

Please use Appendix D – Candidate Experience to capture responses. A soft copy of the template can be provided upon request. Please note that a resumé for the candidate is to be included as part of Appendix D.

Once a Submission has been accepted, the candidate may not be substituted.

Please identify if any component of this project will be outsourced or subcontracted. Please state the name and location of the outsource company or subcontractor, and the length and nature of the relationship with the Respondent.

Complete and attach Appendix C – References providing references as requested therein.

Price

Complete the pricing information using Appendix E - Pricing. All dollar amounts are to be stated in Canadian funds.

As noted above, Appendix E is to be submitted as a separate file.

2.5.Evaluation Process
The evaluation of the Submission will be conducted by a panel of OntarioMD representatives. A Submission must meet the requirements of each applicable stage to proceed to the next stage.

Stage 1 consists of validating that all Submission Requirements are included and complete according to section 2.4 – Submission Requirements.
Stage 2 consists of scoring by OntarioMD for each qualified Submission with respect to the Candidate Experience
Stage 3 consists of interviewing the top candidates. The candidates will be asked to provide a link to work examples, or portfolios online or a print or digital portfolio, in advance of the interview. Any candidate that is not interviewed or does not score a minimum of 20 out of 30 points for the interview and work examples will be disqualified.
Stage 4 Upon successful completion of Stage 3, the pricing attachment provided by each qualified Respondent will be opened. Each proposal will be evaluated and awarded points based for each Service Category being proposed. Each Service Category will be awarded separately. Therefore, if a Proponent is bidding on both Service Categories, two (2) separate packages of information (one for each Service Category) should be submitted.
Stage 5 consists of verifying reference information. References will only be contacted if a Respondent’s candidate is considered at Stage 5
General OntarioMD, in addition to any other remedies it may have in law or in equity, shall have the right to rescind any Contract awarded to a Proponent in the event that OntarioMD determines that the Proponent made a misrepresentation or submitted any inaccurate or incomplete information.
A proposal that includes conditions, options, variations or contingent statements that are contrary to or inconsistent with the terms set out in the RFSQ may be disqualified. If a proposal is not disqualified despite such changes or qualifications, the provisions as set out in this RFSQ will prevail over any such changes or qualifications.

There can be no substitutions for the individual candidates should that individual leave the Respondent’s service. If a candidate leaves the Respondent’s service at any time during an active contract, the Respondent may substitute the candidate with another candidate who meets all requirements and after OntarioMD has assessed and approved the new candidate.
3.Terms and Conditions

Confidentiality

OntarioMD reserves all rights in respect of this RFSQ. Respondents to this RFSQ may not reproduce, modify, disclose, distribute or publish any portion of this RFSQ or any information about without the prior written approval of OntarioMD, save and except for the strict purpose of preparing a response, and provided always that any such reproduction, modification, disclosure, distribution or publication of this RFSQ shall only be made to or for recipient’s employees or advisors on a strict need-to-know basis, each of whom the recipient agrees to bind to these same confidentiality obligations.

Respondents or other RFSQ recipients may not use the name of OntarioMD, or refer to this RFSQ in any advertisement or other promotional messages without the prior written consent of OntarioMD.

Information pertaining to OntarioMD obtained by the Respondent as a result of participation in this RFSQ is confidential and must not be disclosed without written authorization from OntarioMD.

Collection and Use of Personal Information

Respondents are solely responsible for familiarizing themselves, and ensuring that they comply, with the laws applicable to the collection and dissemination of information, including resumes and other personal information concerning employees and employees of any subcontractors. If this RFSQ requires Respondents to provide OntarioMD with personal information of employees who have been included as resources in response to this RFSQ, Respondents will ensure that they have obtained written consent from each of those employees before forwarding such personal information to OntarioMD. Such written consents are to specify that the personal information may be forwarded to OntarioMD for the purposes of responding to this RFSQ and use by OntarioMD for the purposes set out in the RFSQ. OntarioMD may, at any time, request the original consents or copies of the original consents from Respondents.

We regret extensions cannot be granted. Submissions received after the deadline will be sent a notification email that their Submission will not be considered.

Facsimile Submissions in whole or in part will not be accepted.

Respondents that are selected for a short list will be required to make their candidates available for interviews (tentatively scheduled as indicated in Section 2.3) and respond to questions from OntarioMD.

Other than the contact named in 2. above, a Respondent may not contact or attempt to contact, during the RFSQ process, anyone else at OntarioMD for the purposes of obtaining information that relates to this RFSQ. Any Respondent who fails to comply with this requirement will be disqualified.

OntarioMD, without liability, cost or penalty, may at any time prior to or after closing time:
- Alter any dates in this RFSQ;
- Cancel this RFSQ;
- Amend or supplement this RFSQ;
- Issue a new RFSQ for the same or similar services.

The Submission with the lowest cost may not necessarily be the winning bid. While the cost is an important element in the selection process, it is to be clearly understood that there are other evaluation criteria in the RFSQ that OntarioMD will consider in evaluating Submissions.

OntarioMD, without liability, cost or penalty, may, in its sole discretion, waive irregularities in any Respondent’s Submission.

OntarioMD, without liability, cost or penalty, may, in its sole discretion and at any time after submission, seek clarification from any Respondent with respect to its Submission. Any written information received by OntarioMD from a Respondent in response to a request for clarification from OntarioMD shall be considered an integral part of the Respondent’s Submission.

OntarioMD may verify any Respondent claim or statement by whatever means OntarioMD deems appropriate, including contacting references other than those offered by the Respondent, and may reject any Respondent statement or claim, if in the judgment of OntarioMD the statement or claim is unwarranted or not credible.

OntarioMD assumes no responsibility for any costs associated with your response to this RFSQ.

The Respondent must provide a statement in their response that they have read, understood and accept the terms and conditions contained in the Letter of Engagement and that the Respondent will, if requested by OntarioMD, sign and enter into this Agreement with OntarioMD and be bound by the provisions of the Letter of Engagement. The RFSQ will become part of the Letter of Engagement.

4.Requirements
4.1.Categories

The Services offered through the VOR arrangement resulting from this RFSQ will support the needs of OntarioMD to engage consultants on a short-term basis.

There are two (2) Service Categories covered by the VOR arrangement. They are:

Graphic Designer
Videographer

The work is expected to span the period from April 15, 2019 to April 14, 2021, with possibilities for extension of up to one (1) year. The successful Proponents will report to the Director, Communications and Marketing.
4.2.Scope of Work
The following tasks will be assigned to the Service categories:

Graphic Design:

Develop creative briefs for graphic design projects
Provide graphic design services
Create visual representations of brand identity, key messages and ideas using graphics, illustrations and photos to be used in various communications material such as, but not limited to, brochures, presentations, documents, and website content
Work collaboratively with key stakeholders (as required)

Videography:

Develop creative briefs for video projects
Collaborate on storyboards for videos
Manage all aspects of video shoots (e.g., lighting, sound, etc.)
Edit videos for final release
Update videos post-release, if required
Work collaboratively with key stakeholders (as required)

The evidence of the candidate’s skills in these areas will be evaluated to assess the candidate’s ability to deliver on the Scope of Work.

Graphic Design:

Five (5) years of demonstrated experience in the design, and execution of high quality printed and/or web collateral based on proficiency in using graphic design tools
Five (5) years of demonstrated experience in development, design, testing and integrating microsites with corporate websites
Five (5) years of demonstrated experience in accessibility testing and knowledge of accessibility principles and internationally recognized guidelines for graphic design
Well versed in Microsoft Office including SharePoint, Word, PowerPoint, and Adobe Creative Suite products including PhotoShop, and Acrobat.
Knowledge of HTML and CSS.
Awareness of emerging trends and directions in graphic design

Videography:

Five (5) years of demonstrated experience in managing creative briefs, collaborating on storyboards
Five (5) years of demonstrated experience in managing video shoots, including the use of all technical equipment (e.g., lighting, sound)
Five (5) years of demonstrated experience in editing and producing high quality videos
Well versed in Adobe Premiere and Adobe After Effects, and Adobe Audition.
Awareness of emerging trends and directions in videography

Appendix B – Conflict of Interest Declaration

Conflict of Interest includes any situation or circumstance where, in relation to this RFSQ process, the Respondent has an unfair advantage or engages in conduct, directly or indirectly, that may give it an unfair advantage, including (i) possessing or having access to information in the preparation of its Submission that is confidential to OntarioMD and is not available to other Respondents; (ii) communicating with any official or representative of OntarioMD or members of the Evaluation Team or other person connected with the RFSQ other than the contact specified in the RFSQ, with a view to influencing them and obtaining preferred treatment in this RFSQ process; or (iii) engaging in conduct that compromises or could be seen to compromise the integrity of the open and competitive RFSQ process.
