This negotiated request for proposals (this “RFP”) is an invitation to potential suppliers (each a “Proponent”) to submit proposals (each a “Proposal”) to provide enterprise website(s) and mobile application(s) (apps) (together, the “EWMA”) and related services (together, the “Services”), including, as applicable, design, development, implementation, configuration, integration, deployment, consulting services (implementation services) and certain support, maintenance and training services in respect of the EWMA pursuant to (and as further defined in) a definitive Agreement between the successful Proponent as a service provider (the “Service Provider”) to the Ontario Lottery and Gaming Corporation (“OLG”). Currently, OLG expects the Services to be enterprise-wide, using Adobe AEM as the content management system (the “CMS”) and Adobe Campaign, which are being purchased and licensed by OLG, for all OLG websites and mobile applications, including the EWMA. OLG will operate through a conduct and manage model where OLG will provide all approvals.
OLG is seeking an Agreement with an initial term of five years following the commencement of the ongoing services (go-live), with two additional optional extensions (under the same terms and conditions) at OLG’s discretion of three and two years length respectively. After the first two renewal terms, there will be a further two optional extensions (under the same terms and conditions) of three and two years length respectively, these further two optional extensions will also be at OLG’s discretion; however for these further two optional extensions the Service Provider may also elect not to renew by providing at least 24 months’ notice that the Service Provider does not want to continue the Agreement. This gives a total potential term, subject to OLG exercising its renewal options, of 15 years from the go-live date.
In order to comply with the Gaming Control Act (“GCA”), a Service Provider will be required to be registered with AGCO as a Gaming-Related Supplier (a “GRS”), and that certain other members of the Proponent Group (including subcontractors) may also have registration requirements with AGCO under the GCA. Any required registrations shall be completed prior to the execution of any definitive Agreement. Additionally, there are certain timing obligations under this RFP for submitting an application for registration with AGCO. As a condition of this RFP and by the Proposal Submission Deadline, Proponents must either (i) demonstrate that it is already a registrant holding a valid GRS registration with AGCO to provide the Services and provide evidence of such registration or filing with the Proponent’s Proposal, or (ii) file a completed application form “Registration as an Operator or Supplier” (https://www.agco.ca/sites/default/files/6077_g_1.pdf) with AGCO as a GRS along with requirement to pay to AGCO the non-refundable application fee of CAD $15,000, and provide evidence of such registration or filing with the Proponent’s Proposal.

conduct a Proponent briefing webinar on October 26, 2018. Proponents must pre-register themselves for the Proponent briefing webinar by executing the Interest Agreement, a requirement in order to participate in the Proponent briefing webinar, and sending an email to the RFP Coordinator at the coordinates outlined within the RFP document. The deadline for Proponents to register for Proponent Briefing Webinar is October 25, 2018 at 5:00:00pm local Toronto time.
